Introduction
Welcome to Fizen.io, accessible via our website at https://fizen.io/, our mobile application, and any other websites or applications linked or connected to it (collectively, the "Fizen Platform"). The Fizen Platform is operated by Fizen ("Fizen", "we", "us", or "our").
We provide the following services (collectively, the "Services"):
(i) a decentralized digital wallet ("Fizen Wallet");
(ii) a crypto payment gateway ("Fizen Pay");
(iii) a USDT-funded USD Visa prepaid card ("Fizen Card");
(iv) a QR-based crypto payment solution ("Fizen QR Pay"); and
(v) other related services.
These Terms of Use ("Terms") form a legally binding agreement between you ("user", "you", or "your"), whether acting for yourself or on behalf of an entity — and Fizen. By reference, these Terms also incorporate our Privacy Policy at https://fizen.io/privacy-policy, our Cookies Policy, and any other applicable policies, guidelines, or notices we issue from time to time.
By registering an account, clicking a button or checkbox to accept these Terms, or using any of the Services, you confirm that you have read, understood, and agreed to be bound by these Terms. If you do not agree, you must stop accessing the Fizen Platform and using the Services immediately.
Changes to These Terms. We reserve the right to update or amend these Terms at any time ("Changes"). We will notify you of any Changes by: updating the "Last Updated" date at the top of this page; displaying an in-app pop-up; sending a message to your Fizen Account; or using other reasonable communication methods. Changes take effect immediately upon release. Your continued use of the Platform or Services after Changes are posted constitutes your acceptance of those Changes. It is your responsibility to review these Terms regularly.
Eligibility
By using our Services, you confirm that:
(a) You are at least 18 years old and have full legal capacity to enter into these Terms; or, if you are acting on behalf of a company or other legal entity, you have the authority to bind that entity to these Terms.
(b) Your use of the Services does not violate any applicable laws or regulations in your jurisdiction.
If you do not meet these requirements, you and/or your guardian will be responsible for all consequences arising from your use of the Services. Fizen reserves the right to freeze, suspend, or cancel your account, and to file claims for compensation, where applicable. We may update our eligibility requirements from time to time.
The Services
Below is a description of the key features and functions available on the Fizen Platform.
Fizen Wallet (Decentralized Non-Custodial Digital Wallet)
Fizen Wallet is a decentralized, non-custodial digital wallet that allows you to:
(a) Create a wallet address and encrypted private keys for sending, receiving, storing, exchanging, and managing your cryptocurrencies and other digital tokens ("Digital Assets");
(b) Browse and interact with third-party decentralized applications (dApps) related to your Digital Assets;
(c) Use your Digital Assets to pay for products and services provided by Fizen or third parties through the wallet;
(d) Exchange fiat currencies for Digital Assets (and vice versa) through integrated third-party service providers licensed to offer such services; and
(e) Access other Digital Asset-related features made available by Fizen from time to time.
Important: You are solely in control of your Fizen Wallet and all Digital Assets stored in it. Fizen cannot access, freeze, or interfere with your wallet or transactions under any circumstances. You are responsible for keeping your wallet address and private key secure. If you lose access to your private key, Fizen cannot recover it for you.

Fizen Pay (Crypto Payment Gateway)
Fizen Pay is a crypto payment gateway designed for merchant users. By integrating Fizen Pay into your trading platform (website or mobile application), you can:
(a) Accept cryptocurrency as a payment method for goods and services from your customers;
(b) Track cryptocurrency payment information for orders, invoices, and requests; and
(c) Withdraw Digital Assets to your external wallet.
To use Fizen Pay, you must register a Fizen Pay Account using a valid email address. A new non-custodial wallet will be created for you to manage funds from your payment smart contract.

Fizen Card (USD Visa Prepaid Card)
Fizen Card is a USD-denominated Visa prepaid card funded by USDT or USDC. It is designed for anyone who need to spend stable digital assets like cash, without hidden fees.
With Fizen Card, you can:
(a) Load your card using your Fizen Wallet balance (USDT or USDC);
(b) Spend anywhere Visa is accepted worldwide, online and in-store;
(c) Make online advertising payments, tool subscriptions, and other business expenses directly from your digital asset balance; and
(d) Benefit from transparent fee structures with no hidden conversion charges.
Important: Fizen Card is a prepaid card product. Applicable service fees and card issuance conditions will be disclosed to you prior to card activation. You are responsible for ensuring your card balance is sufficient before making transactions. Fizen is not liable for declined transactions resulting from insufficient balance.
Eligibility for Fizen Card may be subject to additional identity verification (KYC) requirements and geographic restrictions. Fizen reserves the right to decline card applications at its sole discretion.
Fizen QR Pay (USDT QR Payment)
Fizen QR Pay is a real-world payment solution that enables you to pay for goods and services at participating merchants by scanning a QR code, using USDT. This service is currently available in Southeast Asia, including Vietnam and the Philippines.
With Fizen QR Pay, you can:
(a) Pay at participating merchants by scanning a QR code using the Fizen app;
(b) Transact in local currencies seamlessly, funded by your USDT balance; and
(c) Access merchant discounts and rewards available through the Fizen network.
Important: Fizen QR Pay availability is subject to merchant participation and geographic coverage, which may change from time to time. Fizen is not responsible for the quality of goods or services purchased from participating merchants. Exchange rates applied to QR Pay transactions will be disclosed at the time of payment.
Other Services
Fizen also provides technical services that connect you with Fizen's crypto partners. These partners offer:
(a) Peer-to-peer (P2P) marketplaces where you can buy or sell cryptocurrencies; and
(b) On/Off-ramp tools that allow you to convert between fiat currencies and Digital Assets.
All P2P and On/Off-ramp processes, including Anti-Money Laundering (AML) and Know-Your-Customer (KYC) compliance checks, are handled by our partners, not by Fizen. Fizen is not responsible for disputes between you and our crypto partners, or between you and other users in P2P transactions.

Users Account & Responsibilities
Account Registration and Management
To use our Services, you must create an account on the Fizen ("Fizen Account"). You agree to keep all your account information accurate, current, and complete at all times.
You must keep your password confidential. If you know or suspect that a third party knows your password or has accessed your Fizen Account, notify us immediately. You are solely responsible for all activities that take place under your Fizen Account.
We reserve the right to suspend or disable your Fizen Account at any time if you fail to comply with these Terms, if your use of the Platform causes damage to our Services or infringes third-party rights, or if required by applicable law.
Identity Verification (KYC)
To comply with our customer due diligence requirements, you must provide accurate, complete, and up-to-date information when registering your Fizen Account, including your full name and valid government-issued identification documents.
If any of this information changes, you must update it promptly. Fizen may also request additional documents or information as required by applicable laws. Failure to provide required information may result in suspension of your account or restriction of your access to the Services.
We reserve the right to retain your registration information even after your account is closed, for business and regulatory compliance purposes.
Your Use and Representations
By accessing Fizen and/or using the Services, you agree and confirm that:
(a) Your use of the Services does not violate any applicable laws in your jurisdiction;
(b) All information you provide is accurate, current, and complete at all times;
(c) You will comply with these Terms and all applicable laws and regulations; and
(d) You will not engage in any of the following prohibited acts ("Prohibited Acts"):
Using the Platform for unauthorized, illegal, or fraudulent purposes, including money laundering, terrorist financing, illegal gambling, or weapons trading;
Attempting to gain unauthorized access to other users' accounts, or using another person's account information;
Using information obtained from the Platform to harm, abuse, or defraud any person;
Circumventing, disabling, or interfering with the Platform's security features;
Uploading or transmitting viruses, malware, Trojan horses, or other harmful software;
Copying, modifying, adapting, or creating derivative works of the Services without our consent;
Distributing, licensing, transferring, or selling any part of the Services without authorization;
Using the Services for unsolicited commercial advertising, spam, or solicitation;
Interfering with or disrupting the proper functioning of the Platform or connected networks;
Being included on any trade embargo or economic sanctions list, including the UN Security Council Sanctions List, the U.S. OFAC Specially Designated Nationals List, or the U.S. Department of Commerce Denied Persons List (collectively, "List of Sanctioned Entities").
If you violate any of the above, we may, without prior notice, suspend or terminate your account, freeze your Digital Assets, report you to relevant authorities, and/or remove any content you have submitted.
You also agree that we may send you marketing, advertising, or promotional communications through your Fizen Account or registered email. You may unsubscribe from such communications by contacting us at any time.
Account Security
You are solely responsible for safeguarding your Fizen Account and personal information. You must:
(a) Change your password regularly;
(b) Contact us immediately if anyone requests your password or if your registered email is compromised; and
(c) Report any suspicious login activity on your account without delay.
Fizen will never ask for your password. Do not share it with anyone.
Fees and Payment
Fizen reserves the right to charge service fees for the use of the Services. Applicable fees will be communicated to you by posting a notice on the Fizen Platform, sending a message to your Fizen Account, or through other reasonable communication channels.
You agree to pay all applicable fees and charges before using the relevant Services. Please review the fee schedule for each Service before use. Fizen may adjust the fee schedule from time to time, with or without prior notice, at its discretion.
API Limitation
Subject to these Terms, Fizen grants you a personal, non-transferable, non-sublicensable, revocable, and limited right to access and use our APIs to support your use of the Fizen Platform and Services.
We may set and enforce limits on your use of the APIs, including the number of API requests with or without notice, if:
(a) Your usage exceeds applicable thresholds;
(b) Your usage is inconsistent with these Terms; or
(c) Your usage violates any applicable laws or regulations.
Fizen will not be liable for any damages arising from our decision to limit or reject your use of the APIs.
Termination
Your Fizen Account may be terminated:
(a) By Fizen, if: (i) you have committed a serious breach of these Terms; (ii) we are required to do so by a court, government authority, or law enforcement agency; (iii) you (as a legal entity) have ceased ordinary business operations, made assignments for the benefit of creditors, or become subject to insolvency or bankruptcy proceedings; or
(b) By you, at any time upon request.
Upon termination, your right to use the Services ceases immediately.
Recovery of Funds. If your account is terminated and you have a remaining balance in your Fizen Wallet, please contact us to request recovery of those funds, unless prohibited by law or court order. We may require you to provide additional identifying information before processing any withdrawal. If your account is terminated by law or court order, recovery may be refused and the balance will be handled in accordance with applicable law.
New Accounts. If your account is terminated due to a breach of these Terms, we may prohibit you from creating new accounts under your name or any third party's name.
You remain liable for all transactions made while your Fizen Account was open, regardless of termination.
Third-Party Sites & Services
The Fizen services may include links to or integrations with third-party websites, applications, or networks ("Third-Party Sites"), and may reference third-party products or services ("Third-Party Services"). Fizen is not the provider of those third-party offerings and has no control over them.
Your use of Third-Party Sites and Third-Party Services is at your own risk. Fizen is not responsible for any loss or damage arising from your use of Third-Party Sites or Third-Party Services, including any risks arising from granting third-party service providers access to your Fizen Account.
Before using any Third-Party Sites or Services, we recommend reviewing their applicable terms and policies. Fizen reserves the right to add, modify, or discontinue the availability of any Third-Party Sites or Services at any time.
Intellectual Property
Unless otherwise stated, the Fizen.io and all Services, including their APIs, source code, databases, software, designs, audio, video, text, graphics, trademarks, service marks, and logos, are our proprietary property (collectively, "Intellectual Properties"). They are owned, controlled, or licensed by us and are protected by intellectual property laws and international treaties.
You may not copy, duplicate, reproduce, republish, upload, post, publicly display, encode, translate, transmit, distribute, sell, license, or commercially exploit any part of the Intellectual Properties without our express prior written permission.
Limited License. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable license to view, download, copy, display, and print the Intellectual Properties solely for your permitted use of the Fizen Platform and Services. All rights not expressly granted to you are reserved by Fizen.
User Content. By providing information, data, text, photos, or other content to us while using the Services ("User Content"), you grant Fizen and its affiliates, subsidiaries, and contractors the right to use, modify, adapt, reproduce, distribute, and display that content as necessary to provide the Services. You are solely responsible for all User Content you provide. Fizen has no liability for any deletion, loss, or failure to store or encrypt User Content.
Disclaimers
You understand and acknowledge that Fizen has no control over, and no duty to act regarding, the following:
(a) Failures, disruptions, errors, or delays in processing Digital Assets or cryptocurrencies;
(b) Failures of hardware, software, or internet connections;
(c) The introduction or presence of malicious software in the provision of the Services;
(d) Unauthorized third-party access to information stored in your Fizen Account; or
(e) Any other unexpected risks that may arise during your use of the Platform or Services.
By using the Services, you release Fizen from all liability relating to the risks described above.
Indemnity
To the fullest extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Fizen and its subsidiaries, affiliates, contractors, officers, directors, representatives, agents, employees, consultants, and lawyers from and against any and all claims, damages, obligations, losses, liabilities, costs, debts, and expenses (including legal fees, fines, or penalties) arising from:
(a) Your use of the Platform and the Services;
(b) Your breach of any provision of these Terms;
(c) Your violation of any applicable law, rule, or regulation, or the rights of any third party; or
(d) Your negligent or wilful misconduct.
Limitation of Liability
You acknowledge and accept full responsibility for your use of the Fizen Platform and Services.
To the fullest extent permitted by applicable law, Fizen, its subsidiaries, affiliates, contractors, officers, directors, representatives, agents, employees, consultants, and lawyers shall not be liable to you for any direct, indirect, incidental, special, consequential, punitive, or compensatory damages of any kind, including, but not limited to, loss of profits, goodwill, data, or other tangible or intangible losses, arising from:
(a) Your use of or inability to use the Fizen Platform or Services;
(b) Unauthorized access to or alteration of your data or transmissions;
(c) Statements or conduct of any third party on the Platform;
(d) Human errors, technical malfunctions, service interruptions, or network failures;
(e) Theft, tampering, or unauthorized access to images or content;
(f) Late, incorrect, or incomplete data processing; or
(g) Any other matter relating to the Platform or Services.
Aggregate Liability Cap. If Fizen is found liable by a competent authority, our total aggregate liability to you for any and all claims shall not exceed USD 1,000 (one thousand US dollars) or its equivalent in local currency.
Some jurisdictions do not permit the exclusion or limitation of certain warranties or liabilities. To the extent such limitations are not permitted in your jurisdiction, some of the above may not apply to you.
Taxation
If required under the laws of your jurisdiction, you are solely responsible for reporting and paying any taxes arising from your use of the Fizen Platform and Services. Fizen reserves the right to withhold taxes where required by law.
Miscellaneous
Notices
Any notice from us under these Terms will be delivered by posting on the Fizen Platform, sending a message to your Fizen Account, or by email to your registered address. Notices are effective on the date posted or sent. It is your responsibility to keep your contact information current and to check your account messages and email regularly. Fizen will not be liable for any loss resulting from your failure to do so.
Severability
If any provision of these Terms is found to be illegal, invalid, or unenforceable by a court or arbitrator of competent jurisdiction, that provision will be enforced to the maximum extent permitted, and the remaining provisions of these Terms will remain fully valid and enforceable.
No Waiver
Our failure to exercise or enforce any right or provision of these Terms shall not be construed as a waiver of that right or provision.
Assignment
We may assign, transfer, sub-contract, or delegate any of our rights or obligations under these Terms at any time. Your agreement to these Terms is personal to you; you may not assign or transfer it to any third party without our prior written consent.
Force Majeure
Fizen shall not be held liable for any delay, failure to perform, or interruption of the Services caused directly or indirectly by circumstances beyond our reasonable control, including — but not limited to — acts of God, acts of civil or military authorities, terrorism, civil disturbance, war, labor disputes, fire, telecommunications or internet outages, software or hardware failures, cyber-attacks, natural disasters, pandemics, blockages, embargoes, riots, or government orders. Such events shall not affect the validity and enforceability of any remaining provisions of these Terms.
Governing Law
These Terms shall be governed by and construed in accordance with the laws of Hong Kong, without regard to its conflict of law principles.
Dispute Resolution
Any dispute, controversy, or claim arising out of or relating to these Terms — including their formation, applicability, breach, termination, invalidity, or enforceability — shall be referred to and finally resolved by the Singapore International Arbitration Centre (SIAC) in accordance with the SIAC Arbitration Rules then in force. The place of arbitration shall be Singapore. The language of arbitration shall be English.
Language
These Terms and any notices or communications between us shall be in English. Any translated version is provided for convenience only. In the event of any inconsistency between a translated version and the English version, the English version shall prevail.
